These Terms of Service govern your utilization of the creative production solutions and intellectual property provided by Nocturnal Productions LLC. By engaging our services, you formally agree to the following operational conditions.
Nocturnal Productions LLC provides film, video, music visual, live capture, post-production, and related creative services. Project deliverables and estimated timelines are outlined within your specific Master Service Agreement or statement of work. Due to the variable nature of location, talent, weather, and third-party clearances, timelines are estimates and subject to coordinated changes.
To ensure optimal delivery, clients must grant Nocturnal Productions LLC timely access to necessary materials and approvals, including briefs, reference assets, on-site access, talent releases, music or stock licenses, and billing profiles for licensed third-party services. Any delay in providing necessary assets may result in postponed shoot days or delivery dates.
Production fees, retainers, and pass-through costs are billed as detailed in your agreement. Hard costs (e.g., location fees, equipment rentals, travel, music licensing) are strictly distinct from Nocturnal Productions LLC management or labor fees unless otherwise stated. Third-party invoices may be billed directly to your payment methods where agreed. Nocturnal Productions LLC assumes no liability for disputes with third-party vendors or platforms outside our direct control.
Upon clearance of outstanding invoices per your agreement, the client assumes ownership of agreed final deliverables created for their project (e.g., edited masters, agreed cut-downs). Nocturnal Productions LLC retains intellectual ownership of internal templates, workflow tooling, and proprietary methods used to execute the work, except as expressly assigned in writing.
Nocturnal Productions LLC employs industry-leading methodologies. However, we cannot control external factors, such as venue outages, talent availability, platform policy changes, or force majeure events. Nocturnal Productions LLC is not financially liable for indirect or consequential damages except as required by applicable law or expressly stated in your agreement.
Contracts may be terminated by providing written notice as defined in your agreement. Upon termination, Nocturnal Productions LLC will execute a professional off-boarding sequence, returning agreed project files where paid for, and revoking our administrative access credentials.
